INCORPORATION SERVICES
The most common form of business in Estonia is the private limited company (OÜ). No annual state fees or taxes are levied on the private limited company. It is mandatory to submit an annual report once a year. The business can be managed entirely without visiting Estonia.
The share capital of a private limited company shall be at least EUR 2,500. The capital contribution can be either monetary or non-monetary and does not have to be made immediately. The majority of our clients have chosen to pay the share capital later.
The minimum required number of founders/shareholders and management board members is one. The founder and/or shareholder is not personally liable for the liabilities of the private limited company only prior to the payment of the capital.
The mandatory governing body of a private limited company is the management board; a supervisory board is mandatory only if specified in the articles of association.
Most of our clients have opted for a private limited company because it is the most common form of business, the legislation is straightforward, and the cost of running a business is very low. COMPANY FORMATION WITH E-RESIDENCY
The easiest and fastest way to incorporate a company is to use the benefits of an e-Residency card. With the e-Residency card, a company can be established in the e-Business register within one business day remotely and directly on the person’s name. Multiple shareholders and directors are allowed. There is no need to appoint a local director – only the contact person is required by law.

COMPANY FORMATION WITH A VISIT TO ESTONIA
If you do not have an e-Residency card but would like to visit the country where the company is established, we are pleased to meet you at our office in Tallinn and provide a package of where your company will be established during your visit to Estonia.
In this case, we will set up a company directly for you at an Estonian notary’s office. The notary prepares the incorporation agreement and the articles of association. We can find a suitable date and time for accompanying you to the notary’s office.
Your business will be registered within 5 business days and will be fully operational. In order to be able to avoid additional visits to Estonia or be able to manage the business fully remotely, we suggest applying for e-Residency card. Some clients have given us a power of attorney to represent the client in future communications with the authorities.

REMOTE COMPANY FORMATION
If you do not have an e-Residency card or do not plan to visit Estonia for this process, we are glad to provide you with a remote company formation service with a power of attorney. For clients who find it difficult to travel or are not interested in an e-Residency programme, remote incorporation is a great alternative.
The power of attorney is notarised and apostilled in the client’s country, allowing us to incorporate the company to the client’s name in the notary’s office. The notary will prepare the incorporation agreement and articles of association and, if necessary, the client can review and approve the documents prepared.

LEGAL ENTITY AS A SHAREHOLDER
Pursuant to the Estonian Commercial Code, a legal entity may be a shareholder of an Estonian company and we assist our clients in establishing such a structure. Please note that a member of the board (director) may only be a natural person.
There are two ways to start a company with a legal entity as a shareholder. The first option is for a company representative to visit Estonia. The second option is remote establishment via a power of attorney. In the latter case, the company’s representative gives us a power of attorney that is notarised and apostilled in the country of the client, enabling us to represent the company. In both cases, the process is carried out through a notary’s office. In both cases, the notary will request notarised corporate documents from the legal entity. We help our clients obtain the documentation they need for the process.

READY-MADE COMPANIES
We are glad to offer our clients companies that are already established and are ready to be transferred to the client’s name. A ready-made company is ready for operations immediately. The company can be transferred to the client’s name during a visit to Estonia or remotely via a power of attorney. In both cases, the transfer of shares is done via a notary public. It is possible to change the name and field of activity of the company.
For further enquiry, please indicate how old the company should be. In addition, kindly be advised that we are currently unable to offer companies a bank account and VAT number. These services can be provided after the transfer.

COMPANY FORMATION WITH CRYPTOCURRENCY LICENSE
Estonia has clear and transparent legislation on different licences. Currently, the most required licences in Estonia are related to cryptocurrency activities.
The operating licences are issued by the Estonian Financial Intelligence Unit (FIU), which is an independent unit of the Estonian Police and Border Guard Board. The company is qualified as a Financial Institution, while having no special reporting requirements to tax authorities. Accounting is conducted similarly to any other company. No additional reporting to the regulator is required, but the FIU may conduct inquiries about the company’s operations.
Virtual currency service license
• Allows exchanging crypto to crypto, fiat to crypto, and vice versa.
• Allows providing a virtual currency wallet service, in the framework of which the company generates keys for clients or maintains the client’s encrypted keys. This service offers custodial services of credentials necessary to access virtual currencies.
Main requirements for the virtual currency service license holder:
• Minimum share capital requirement is 12 000 EUR.
• Office in Estonia
• Location of the management shall be in Estonia
• Payment account in EEA zone
• The company is required to assign AML Compliance Officer
The application for the license mentioned above is done via a company registered in Estonia or through a registered branch office of a foreign company in Estonia.
